  2.                   CORPORATE RESOLUTION: BANKING

  5. I, @001, Secretary of @002, referred to as corporation, certifies 
  6. that the following is a true copy of resolutions adopted by the 
  7. Board of Directors of this corporation at a meeting held on 
  8. proper notice, a quorum being present, on @100, and that such 
  9. resolutions are now in full force and effect.

  12. Resolved that the @101 Bank of @102 is designated a depository of 
  13. this corporation; and

  15.  
  16. Further resolved, that all drafts, checks, and other instruments 
  17. or orders for the payment of money drawn against the account or 
  18. accounts of this corporation with such depository shall be signed 
  19. by any @103 of the following:

  25. Further resolved, that such depository is authorized to place to 
  26. the credit of the account, or any of the accounts of this 
  27. corporation, funds, drafts, checks, bills of exchange, or other 
  28. property whomever delivered to such depository for deposit for 
  29. account of this corporation, endorsed with the name of this 
  30. corporation by rubber stamp, facsimile, mechanical, manual or 
  31. other signature (and any such endorsement by whomever affixed 
  32. shall be the endorsement of this corporation), or otherwise 
  33. endorsed, or un-endorsed, provided that if any such draft, check 
  34. or other property shall bear, or be accompanied by, directions 
  35. (by whomever made) for deposit to a specific account then such 
  36. deposit shall be to the credit of such specific account; and

  39. Further resolved, that such depository is directed to accept, 
  40. and/or pay and/or apply any draft, check, instrument or order for 
  41. the payment of money, or any proceeds thereof, drawn on such 
  42. account or accounts when signed as required by these resolutions 
  43. without limits as to amount, without inquiry, and without regard 
  44. to the disposition of any such item or proceeds thereof, and such 
  45. depository shall not be liable in connect therewith 
  46. notwithstanding that such item may be payable to the order of a 
  47. person whose signature appears thereon or of any other officer or 
  48. officers, agent or agents of this corporation, or such item or 
  49. any proceeds thereof may be used for the personal credit or 
  50. account of any such person or person with the depository or used 
  51. in payment of the individual obligation of any such person or 
  52. persons to the depository or otherwise.

  54. Further resolved, that such depository is authorized to deduct 
  55. from the accounts of the corporation the regular promulgated 
  56. service charges and fees for accounts and other services rendered 
  57. to the corporation.
